This Cancellation, Renewal, and Refund Policy (“Policy”) sets the rules for Kerry Studio subscriptions. Kerry Studio is software developed and licensed by Sireeus Softworks (“Sireeus”).
The official language of this Policy is Brazilian Portuguese. The English and Spanish versions are courtesy translations; if they differ, the Portuguese text prevails.
This Policy must be read with the Privacy Policy, the Subscription Terms, and the License to use. This Policy governs cancellation, renewal, and refunds of the subscription.
The Company’s legal name is Sireeus Softworks Ltda, registered in Brazil under CNPJ 68.882.332/0001-80, with registered office at Rua Thereza Scanavez Lamberti, 280, CXPST 109, Sala 567, Parque da Barra I, São Joaquim da Barra, SP, Brazil, ZIP 14.606-366. The trade name is Sireeus.
Where applicable law gives the user or consumer mandatory rights, those rights prevail over any incompatible clause in this Policy.
1. Contracting Kerry Studio
1.1. Kerry Studio is offered through a paid subscription.
1.2. As a general rule, there is no permanent free plan.
1.3. You may subscribe to the plan available at the time of contracting, under the price, billing period, features, and other conditions shown before you complete the subscription.
1.4. The subscription is contracted through a legal seller (merchant of record). The legal seller is not a payment gateway or Sireeus’s payment provider: it is the seller of record of the transaction vis-à-vis the customer. The identity of the legal seller applicable to each subscription is the one shown at checkout, in the transaction confirmation, and in the commercial documents of that contract. Sireeus may use one or more legal sellers, including at the same time.
2. Legal seller (merchant of record)
2.1. The legal seller of that contract is responsible, as legal seller and to the extent of applicable law and its own terms, for the commercial transaction of the subscription. That responsibility is the legal seller’s as seller, not as a payment gateway or payment provider for Sireeus.
2.2. The legal seller handles, as seller, among other things:
- offering the payment methods and charging the transaction;
- charging and renewing the subscription;
- subscription management in the customer portal;
- cancellations and refunds of the transaction;
- documents and records related to the charge;
- transaction taxes when required.
2.3. You can manage the subscription in the customer portal of the legal seller indicated at checkout and in the transaction email.
2.4. Sireeus does not control the legal seller’s payment methods, financial institutions, billing rails, or other technical mechanisms.
2.5. Using a legal seller for commercialization does not transfer intellectual property in Kerry Studio to that seller. Sireeus remains the grantor of the license to use the Software.
2.6. The legal seller has its own terms and policies for the financial transaction. If they conflict on payment, refund, chargeback, or transaction taxes, the terms of the legal seller of that transaction prevail to the extent they apply — without prejudice to mandatory consumer rights.
2.7. The legal seller may, as seller and under its own policies, process refunds or handle transaction disputes, including to mitigate chargebacks, even when this Policy does not grant a commercial refund in that case. That legal-seller faculty does not, by itself, expand your commercial refund right beyond this Policy and applicable law.
3. Automatic renewal
3.1. If the plan renews on a recurring basis, the subscription renews automatically at the end of each period, at the price and interval shown at contracting or later communicated for future periods.
3.2. By taking a recurring subscription, you authorize renewal charges on the payment method the legal seller provides.
3.3. You can stop a future renewal by canceling before the next charge, in the customer portal of the legal seller indicated at checkout and in the transaction email or through another channel Sireeus indicates. Under the current commercial model, that cancellation takes effect at the end of the billing period already paid: the subscription stays in force until that date and there is no further charge. Until then, you may resume the subscription in the legal seller’s portal if that option is still available. If the subscription is still in an unpaid evaluation, canceling before the deadline shown at checkout prevents the first charge.
3.4. Canceling a future renewal does not, by itself, refund amounts for the period already contracted and paid.
3.5. Unless the law requires otherwise or a refund ends the license, if you cancel a paid subscription the license stays active until the end of that period.
3.6. Keeping using the Software during the paid period is not a new contract and not an automatic renewal.
4. Price changes
4.1. The applicable prices are those shown at contracting or later communicated for future periods, under the applicable rules.
4.2. Price changes for future periods will be communicated in a reasonable way and will follow applicable law.
4.3. You may cancel the renewal before the new price applies.
4.4. A price change does not apply retroactively to a period already contracted and paid.
5. Canceling the subscription
5.1. You may request cancellation of the subscription at any time.
5.2. Cancel first in the customer portal of the legal seller indicated at checkout and in the transaction email — the same commercial channel used to subscribe. You can also write to support@sireeus.com.
5.3. Ordinary cancellation of a recurring subscription does not cut off the period already paid: it stops future renewals and the subscription remains until the end of the current contracted period. At that moment access and the license are cut off at once — there is no use after that date. Canceling during an unpaid evaluation before the deadline shown at checkout prevents the first charge and ends that evaluation; there is no paid period to keep.
5.4. That is not the immediate termination in section 6. Immediate ending of the subscription or the license — without waiting for the current period to end — happens in the cases in this Policy (for example a full refund, withdrawal under section 7, a chargeback, or the cases in section 13), not ordinary cancellation in the portal.
5.5. Unless a different rule or a legal duty applies, you may keep using Kerry Studio until the end of the contracted and paid period. Until that date, you may resume the subscription in the legal seller’s portal if that option is still available. If you do not resume, access ends completely when that period ends.
5.6. After ordinary cancellation, the license will be deactivated at the end of the current contracted period, with no extra grace period.
6. Immediate termination
6.1. You may request immediate termination when that option is available in the applicable flow.
6.2. Immediate termination does not automatically create a right to a prorated refund of the period already contracted, unless:
- a specific contractual term says so;
- applicable law requires the refund;
- Sireeus or the legal seller has expressly approved the refund.
6.3. If immediate termination follows a mandatory withdrawal right or another mandatory right, the corresponding legal rules apply — including the full restitution under article 49 of Brazil’s Consumer Defense Code, when that statute applies.
7. Right of withdrawal
7.1. When the contract is subject to Brazil’s Consumer Defense Code and is made away from a physical place of business, the consumer may withdraw under applicable law.
7.2. In Brazil, when the Code applies, the withdrawal right in article 49 of Law No. 8.078/1990 may be exercised within 7 (seven) calendar days, counted from the contract or from access to the Software — whichever is later. The period applies to both monthly and annual subscriptions.
7.3. A valid withdrawal within that period produces a full refund of amounts paid, with no need to give a reason. Sireeus does not treat use of the Software during that period as a waiver of the right.
7.4. Ask for withdrawal or a refund first at support@sireeus.com. Canceling in the customer portal of the legal seller indicated at checkout and in the transaction email does not return amounts paid: under the current model the portal stops renewal. Sireeus will handle with the legal seller the full refund, cancellation of the subscription, and complete interruption of access: the license is deactivated at once, without waiting for the current contracted period to end.
7.5. Refunding an order with the legal seller on its own does not end the subscription. In the cases in this section, refund and cancellation are handled together.
7.6. Any evaluation or complimentary period shown at checkout does not replace, shorten, or extend the period in this section. Canceling during an unpaid evaluation is not a refund: no amount was paid to return. If a charge has already occurred, clauses 7.1 to 7.5 apply when the Code applies.
8. Refunds
8.1. A refund is the full or partial return of an amount previously paid for a contract.
8.2. A refund may follow from:
- a legal right, including article 49 withdrawal when it applies;
- a defect that makes the Software unfit for the contracted use, under applicable law;
- a contractual duty;
- a billing error or a duplicate payment;
- an exceptional decision by Sireeus or the legal seller;
- an administrative or judicial order.
8.3. Canceling the subscription does not automatically refund the period already contracted and paid, unless the law or the contract says otherwise.
8.4. Dissatisfaction, a change of mind, or non-use after the legal withdrawal period does not, by itself, create a right to a refund of the period already paid.
8.5. When a refund is approved, the legal seller processes it under its operational rules and the payment method used.
8.6. The legal seller’s faculty in clause 2.7 is not an extra commercial guarantee and not an automatic user right.
9. Effect of a refund on the license
9.1. When the amount for a subscription is refunded in full, the associated license will be invalidated or deactivated at once. Access to the Software ends completely at that moment: it does not wait for the current contracted period to end. That includes withdrawal under section 7 and other full refunds under this Policy.
9.2. You may not keep using a fully refunded license unless Sireeus expressly authorizes it.
9.3. Deactivation may happen automatically through Kerry Studio’s validation mechanisms.
9.4. A refund of a charge does not grant a permanent right to use the Software.
9.5. If the refund is partial, Sireeus may adjust the license term or rights according to the nature of the refund and what was communicated to you.
10. Refunds and your content
10.1. Canceling or refunding the subscription does not transfer to Sireeus ownership of your data, files, databases, scripts, or other content.
10.2. Kerry Studio is desktop software. Sireeus does not ordinarily host your databases. Cancellation does not mean deletion of a database stored on Sireeus servers.
10.3. You remain responsible for your data and for making the backups you need before you stop using the Software.
11. Recurring charges and failed payment
11.1. On a recurring subscription, renewal depends on the payment method approving the charge.
11.2. If the charge is declined, the subscription may stay pending, be retried, or be ended, according to the legal seller’s mechanisms.
11.3. Sireeus may suspend the license while there is no valid, duly paid subscription, subject to rights the law grants you.
11.4. You are responsible for keeping valid payment details with the legal seller.
12. Chargebacks and payment disputes
12.1. If you dispute a charge with your financial institution, Sireeus and/or the legal seller may be notified.
12.2. Sireeus may suspend or invalidate the license tied to a chargeback when the payment is reversed or there is no valid payment.
12.3. A chargeback should not be used instead of the ordinary cancellation or refund channels when those channels are available.
12.4. This clause does not block the legitimate exercise of consumer rights or of the payment-instrument holder’s rights.
13. Fraud and misuse
13.1. Sireeus may suspend or cancel a license when there are reasonable indications of:
- fraud;
- use of a third party’s payment details without authorization;
- obtaining the license by fraud;
- unlawful sharing of the license;
- using more licenses than were contracted;
- attempts to bypass activation mechanisms;
- piracy;
- falsified information;
- tampering with the licensing mechanism.
13.2. When appropriate and legally possible, Sireeus may ask for more information to verify the legitimacy of the contract.
13.3. A license obtained by fraud, an improper chargeback, or a breach of this Policy, the Subscription Terms, or the License to use may be revoked without a refund, when the law and the payments policy allow it.
14. Per-machine license
14.1. When the plan uses per-machine licensing, the license is bound to the device through a technical identifier, including the Machine ID.
14.2. Canceling a future renewal does not, by itself, invalidate the license before the end of the paid period (clauses 3.5 and 5.5). The license bound to that machine may be invalidated when that period ends, or immediately if there is a full refund, an immediate termination under section 6, a chargeback, or a case in section 13.
14.3. Replacing the computer, or an environment the mechanism does not recognize (extraordinary cases), requires deactivating the previous machine in the Kerry Studio app. The legal seller’s customer portal manages the subscription (payment and cancellation), not authorized machines.
14.4. Sireeus may set reasonable limits on machine changes to prevent fraud or improper license sharing.
15. Enterprise plans
15.1. Enterprise contracts may have their own cancellation, renewal, and refund rules.
15.2. If this Policy conflicts with an individually negotiated enterprise contract, the specific contract prevails on the commercial terms expressly agreed.
16. International users
16.1. Users outside Brazil are subject to this Policy and to the contract, without prejudice to mandatory rights under the law of their country.
16.2. Nothing in this Policy is intended to exclude consumer rights that cannot validly be waived.
16.3. When local law requires a more favorable mandatory cancellation period or condition, Sireeus will observe that requirement. That does not, as a courtesy, create an extra commercial period where the law does not impose one.
17. Temporary evaluation and no free plan
17.1. As a general rule, Kerry Studio does not offer a permanent free plan.
17.2. Access to the Software depends on a valid license.
17.3. Any temporary, promotional, or evaluation use, if offered, does not create an acquired right to keep a free plan. The length and terms of that use are those shown at contracting. Sireeus may change that complimentary period for future contracts.
17.4. When evaluation is offered without a charge until the checkout deadline, you must cancel before that deadline to avoid being charged. After that deadline, the legal seller charges the plan and there is no free use.
17.5. That commercial period is not the article 49 withdrawal right. Article 49, when it applies, remains the period in section 7.
18. Changes to this Policy
18.1. Sireeus may change this Policy to reflect legal, regulatory, commercial, or technical changes, or changes in how Kerry Studio is sold.
18.2. Material changes for future periods will be communicated by reasonable means when needed.
18.3. The current version will be available on Sireeus’s official channels.
18.4. Continued use of the Software alone is not tacit acceptance of a change that removes a mandatory consumer right.

20. Final provisions
20.1. This Policy must be read with the Privacy Policy, the Subscription Terms, and the License to use. Each document applies to the matters it covers.
20.2. If this Policy conflicts with a mandatory legal rule, the legal rule prevails.
20.3. This Policy is not a waiver of any right the applicable law grants the user or consumer.
20.4. This Policy applies to the subscription contract and is made available on Sireeus’s official channels and, when applicable, at the legal seller’s checkout. Acceptance occurs through the contracting mechanisms then presented.
