Kerry Studio End-User License Agreement

This Kerry Studio End-User License Agreement (“this License”) governs only the license to use the Kerry Studio software (“Kerry Studio” or the “Software”), developed and made available by Sireeus Softworks (“Sireeus”, the “Company”, or the “Licensor”), a legal entity organized under the laws of the Federative Republic of Brazil.

Kerry Studio is the product name, not the legal entity.

The official language is Brazilian Portuguese. This English text is a courtesy translation; if the versions differ, the Portuguese version controls.

The Company’s legal name is Sireeus Softworks Ltda, registered in Brazil under CNPJ 68.882.332/0001-80, with registered office at Rua Thereza Scanavez Lamberti, 280, CXPST 109, Sala 567, Parque da Barra I, São Joaquim da Barra, SP, Brazil, ZIP 14.606-366. The trade name is Sireeus.

Acceptance of this License occurs upon installing or using this Software. Taking a subscription at the legal seller’s checkout is not acceptance of this License.

The subscription is governed by the Subscription Terms. This License must be read with the Privacy Policy and the Cancellation and Refunds Policy.

Where applicable law gives the User or consumer mandatory rights, those rights prevail over any incompatible clause in this License.

1. Definitions

1.1. Kerry Studio: software developed and made available by Sireeus for, among other purposes, administering, querying, developing, managing, analyzing, and interacting with databases, according to the features available in each version.

1.2. Software: Kerry Studio, including its source code, object code, executables, own components, interfaces, visual elements, documentation, features, updates, fixes, improvements, and other elements of the product, excluding third-party components.

1.3. Subscription and Plan: contracting of the subscription and the commercial offerings are governed by the Subscription Terms.

1.4. License: a limited authorization to use Kerry Studio granted by Sireeus under this License, without transferring ownership of the Software.

1.5. User Content: any data, files, information, commands, queries, scripts, settings, or other content belonging to or controlled by the User and used through Kerry Studio.

1.6. Third-Party Services: services, platforms, APIs, infrastructure, components, or technologies supplied by third parties and used together with Kerry Studio.

1.7. Legal seller: the subscription is contracted through a legal seller (merchant of record); see the Subscription Terms.

1.8. Cloudflare: the infrastructure and technical-services vendor Sireeus uses for the site, installer and update delivery, license validation, and other technical services that may be offered.

1.9. Machine ID: a technical device identifier read by the app to bind and validate the license to the authorized computer, when the plan uses per-machine licensing.

2. Subject

2.1. This License has as its object the grant of a limited license to use Kerry Studio, tied to an active subscription.

2.2. Kerry Studio is offered as a cross-platform desktop application, running on the User’s computer.

2.3. Through Kerry Studio, Sireeus does not sell a cloud-hosting service for the User’s databases, unless a future feature or additional service expressly contracted is specifically intended for that purpose.

2.4. Kerry Studio may depend on certain auxiliary online services, including for license validation, authentication, updates, or other functions needed to operate the Software.

2.5. After activation, the User may use the Software’s local features without sending the User’s databases, queries, credentials, or other content to Sireeus’s servers. License validation and obtaining updates may require periodic communication with Sireeus’s online services.

3. Acceptance

3.1. Installing or using Kerry Studio constitutes agreement to this License.

3.2. When the User uses Kerry Studio on behalf of a legal entity or other organization, they represent that they have sufficient authority to bind it to this License.

3.3. If the User is a natural person using Kerry Studio for professional activity, this License also applies, subject to any mandatory law that applies.

3.4. In relationships that are consumer relationships, the rights granted by Brazilian consumer law or other mandatory applicable law are preserved.

3.5. Kerry Studio is intended mainly for professionals, developers, database administrators, and companies. The Software and the site are not directed at children or adolescents.

4. License to use

4.1. During the subscription term and while the contractual conditions are met, Sireeus grants the User a license that is:

  • limited;
  • non-exclusive;
  • non-transferable, except with express authorization;
  • non-sublicensable;
  • temporary;
  • conditioned on keeping an active subscription.

4.2. The license authorizes the User to install and use Kerry Studio only for purposes compatible with the contracted plan and this License.

4.3. The license is not a sale, assignment, disposal, or transfer of ownership of the Software.

4.4. The User acquires no right in the source code, architecture, algorithms, internal structure, product-proprietary databases, internal technical documentation, or any other proprietary element of Kerry Studio. This clause does not refer to the User’s databases, files, or other content.

4.5. Unless the contracted plan says otherwise, the Individual license is for use by the subscriber. Organizations may acquire Individual licenses for their employees. Company-specific plans may be offered later, with their own volume and terms.

4.6. When the plan uses per-machine licensing, the license is bound to the device through a technical identifier, including the Machine ID. If the mechanism does not recognize the environment (extraordinary cases) or the user replaces the computer, the previous machine must be deactivated in the Kerry Studio app. The legal seller’s customer portal manages the subscription, not machines. Sireeus may set reasonable limits on machine changes to prevent fraud or improper license sharing.

4.7. The license depends on an active subscription; see the Subscription Terms and the Cancellation and Refunds Policy.

5. License breach and termination

5.1. Sireeus may suspend or terminate the license for a material breach of this License, unlawful use of the Software, attempted fraud, intellectual-property infringement, use intended to bypass licensing mechanisms, or other cases provided in this License, the refunds policy, or applicable law.

5.2. Whenever legally required and technically possible, Sireeus may give a reasonable opportunity to cure a breach before definitive termination of the license, except where immediate suspension is needed to protect the Software, the Company, third parties, or to comply with a legal duty.

6. Activation and license validation

6.1. Kerry Studio may use technical mechanisms to validate the authenticity and term of licenses. Activation fulfills the contracting described in the Subscription Terms.

6.2. Validation may require communication between the Software and Sireeus’s online services. The communication may currently include the license key, associated email, and technical data needed for activation. Sireeus may consult the legal seller of that contract to confirm that the subscription is in force. Binding the license to the authorized computer is handled by Sireeus in the app. The legal seller’s customer portal is for the commercial subscription relationship (payment, cancellation, invoices).

6.3. The User agrees that technical mechanisms to protect against unauthorized use may be employed in the Software.

6.4. The User may not attempt to bypass, remove, tamper with, neutralize, or disable activation, validation, authentication, protection, or license-control mechanisms.

6.5. A temporary inability to validate caused by unavailability of a third-party service, a connection failure, or a circumstance outside Sireeus’s reasonable control is not, by itself, a breach of this License, without prejudice to legally applicable duties.

6.6. That communication is not used to access the contents of databases the User administers, nor for app usage telemetry.

7. Updates

7.1. Sireeus may make available updates, fixes, improvements, security patches, and new versions of Kerry Studio.

7.2. Updates may be made available automatically or at the User’s request, according to the technical architecture adopted.

7.3. Certain updates may be required to maintain the Software’s security, compatibility, or operation.

7.4. Sireeus may modify, add, replace, or discontinue features, provided the rights the law grants the User and any specific conditions of a given contract are respected.

7.5. While the license is active, updates of the contracted plan are included, as disclosed at contracting.

8. Intellectual property

8.1. Kerry Studio and all of its constituent elements are protected by Brazilian law and, when applicable, by foreign intellectual-property treaties and laws.

8.2. All rights in Kerry Studio belong exclusively to Sireeus or its respective licensors, as the case may be, including without limitation: source code; object code; executables; architecture; algorithms; interfaces; graphic elements; layout; features; documentation; manuals; texts; audiovisual elements; product-proprietary databases; structure and organization of the Software; updates; fixes; improvements; know-how; commercial and technological secrets; and other elements protectable by intellectual-property rights.

8.3. The license granted to the User does not assign or transfer any intellectual-property right.

8.4. Legal protection of computer programs does not depend on registration. Sireeus may, however, register Kerry Studio with the INPI or take other measures to document and protect its intellectual property.

8.5. The User may not reproduce, adapt, distribute, commercialize, make available, or exploit the Software outside the cases expressly authorized in this License.

9. Trademarks and visual identity

9.1. The expressions Sireeus Softworks and Kerry Studio, and their respective names, logos, symbols, visual-identity elements, and distinctive signs used by the Company, are intellectual-property assets of Sireeus or of their respective owners.

9.2. Use of any Sireeus trademark, trade name, logo, or visual-identity element requires express authorization, except uses permitted by applicable law.

9.3. Using Kerry Studio does not grant the User any license or authorization to use Sireeus’s trademarks.

9.4. Sireeus may apply for and maintain trademark, industrial-design, or other industrial-property registrations related to Kerry Studio and its business.

10. Reverse engineering and restrictions

10.1. Except where a mandatory legal rule expressly allows it, the User may not:

  • reverse-engineer;
  • decompile;
  • disassemble;
  • decode;
  • attempt to obtain the source code;
  • modify or create derivative works of the Software;
  • remove protection mechanisms;
  • alter validation mechanisms;
  • bypass licensing systems;
  • develop a mechanism intended to bypass the Software’s limits;
  • copy substantial elements of the Software;
  • redistribute the Software;
  • make the Software available for download by third parties without authorization;
  • sell, rent, sublicense, or transfer the license without authorization;
  • use keys, licenses, or activation mechanisms obtained by fraud;
  • use the license on more machines than were contracted.

10.2. The restrictions in this clause will be read in light of exceptions expressly provided in applicable mandatory law.

11. Third-party components and services

11.1. Kerry Studio may incorporate, use, or depend on third-party components, libraries, APIs, services, or technologies.

11.2. Third-party components remain subject to their respective licenses and conditions.

11.3. Sireeus does not transfer to the User rights in third-party components beyond those needed for regular use of Kerry Studio.

11.4. The User must respect the licenses applicable to third-party components when those licenses are presented or made available, including in any third-party software notices Sireeus publishes.

12. Cloudflare and technical services

12.1. Sireeus may use Cloudflare or other infrastructure vendors for technical functions related to Kerry Studio.

12.2. Those functions may include making the site, installer, and updates available; license validation; security; availability of technical resources; and other functionality needed to operate the Software.

12.3. Using third-party services does not mean Sireeus transfers ownership of Kerry Studio or the corresponding intellectual-property rights to those vendors.

12.4. Sireeus does not use Cloudflare to host the User’s databases in ordinary operation of Kerry Studio.

13. User content and data

13.1. The User remains the owner of the rights they legally hold in their own content and data.

13.2. Using Kerry Studio does not transfer to Sireeus ownership of the User’s databases, files, scripts, queries, information, or other content.

13.3. Kerry Studio is not a hosting or cloud-storage service for the User’s databases, unless a different feature is expressly contracted.

13.4. The User is responsible for keeping adequate backups of their data.

13.5. The User represents that they have the rights, authorizations, and permissions needed to access and handle the data and databases used through Kerry Studio.

13.6. Sireeus is not responsible for the legitimacy of the User’s access to a third party’s database.

13.7. There is no usage telemetry in the app. As part of ordinary license validation or updates, Sireeus does not receive the contents of databases, connection credentials, queries and results, or the files, workspaces, and other content the User creates or stores in the app.

13.8. The User may, if they wish, turn on a local integration with an AI assistant of their choice on their own computer. Sireeus does not provide the assistant or the model. Data the User exposes to that integration may be sent by the User’s AI client to the model provider. That traffic does not pass through Sireeus’s servers and does not transfer to Sireeus responsibility for processing carried out by that provider.

14. Responsibility for use of the Software

14.1. Kerry Studio is a technological tool to support administration and development related to databases.

14.2. The User is responsible for evaluating the commands, queries, changes, and operations they run through the Software.

14.3. Before carrying out potentially destructive or irreversible operations, the User must take adequate security measures, including backups when appropriate.

14.4. Sireeus does not warrant that every operation the User runs will produce the expected result in every environment, database, operating system, or possible configuration.

14.5. The User should verify the Software’s compatibility with their technical environment before professional use in production.

15. Support

15.1. Sireeus may provide technical support to Users according to the conditions disclosed for each plan. On the Individual plan, the disclosed support is by email. Company-specific plans, if later offered, may provide priority support or specific conditions.

15.2. Unless a specific contrary term applies, Sireeus will seek to give a first response to support requests within 48 (forty-eight) business hours.

15.3. The 48-business-hour period refers to the first response or the start of handling, not a guarantee of a definitive solution in that period.

15.4. The period may be affected by technical complexity; the need for more information; dependence on third parties; unavailability of external infrastructure; incompatibility of the User’s environment; or force majeure.

15.5. The product support channel is support@sireeus.com. Requests about cancellation, invoices, or payment method should go first to the customer portal of the legal seller indicated at checkout and in the transaction email. Requests about a refund or withdrawal should go first to support@sireeus.com; see the Subscription Terms and the Cancellation and Refunds Policy.

16. Security

16.1. The User is responsible for the security of the environment in which they install Kerry Studio, including the operating system, credentials, computers, networks, databases, and other resources under their control.

16.2. The User must keep adequate protection mechanisms, including strong passwords, access control, backups, and security updates.

16.3. Sireeus may adopt technical mechanisms to protect the Software against fraudulent or unauthorized use.

17. Personal-data protection

17.1. Personal-data processing carried out by Sireeus is governed by the Kerry Studio Privacy Policy.

17.2. Sireeus stores the account identifier held with the legal seller, the version of this License, and the date of the acceptance record. The legal basis is contract performance (LGPD art. 7º V), not consent (art. 7º I). Email, name, and payment remain with the legal seller.

17.3. Kerry Studio is not intended to host, store, or remotely process the User’s databases.

18. Availability and technical limits

18.1. Sireeus will make reasonable efforts to keep Kerry Studio available and functional, but does not warrant uninterrupted or error-free operation.

18.2. Certain features may depend on an internet connection or third-party services, especially license validation and updates.

18.3. Sireeus will not be responsible for unavailability caused exclusively by:

  • the User’s connection failures;
  • unavailability of third-party services;
  • infrastructure failures not controlled by Sireeus;
  • problems on the User’s device;
  • external attacks or security events beyond the Company’s reasonable control;
  • fortuitous event or force majeure;
  • use contrary to the technical specifications.

19. Warranties and User rights

19.1. Kerry Studio will be made available according to the specifications and features disclosed at contracting, subject to the technical limits inherent in software.

19.2. Sireeus does not warrant that the Software will be suitable for every specific purpose not communicated to the Company.

19.3. In consumer relationships, this clause will not be read as excluding warranties or rights that are legally non-waivable.

20. Limitation of liability

20.1. To the maximum extent permitted by applicable law, Sireeus will not be liable for damages arising from:

  • inadequate use of the Software;
  • use contrary to this License;
  • lack of backup;
  • commands or operations run by the User;
  • unauthorized access to systems or databases by third parties;
  • failures of the User’s infrastructure;
  • third-party services;
  • internet unavailability;
  • use of unofficial or modified versions of the Software;
  • data the User exposes to an AI assistant or other third-party software on their own computer.

20.2. Nothing in this License excludes or limits liability that cannot validly be excluded or limited by applicable law.

20.3. In relationships subject to Brazil’s Consumer Defense Code, liability limitations will be read in conformity with the applicable public-order rules.

21. Indemnity

21.1. The User shall indemnify Sireeus for losses proven to arise from unlawful use of Kerry Studio, fraud, breach of this License, or infringement of third-party rights caused by an act or omission attributable to the User.

21.2. This clause does not displace any legal liability of Sireeus or third-party rights granted by law.

22. Intellectual-property infringement

22.1. Sireeus may take all available administrative and judicial measures in the face of reproduction, distribution, commercialization, piracy, unlawful reverse engineering, trademark infringement, or any other unauthorized use of Kerry Studio.

22.2. Sireeus may suspend licenses related to proven fraudulent or unlawful use, without prejudice to available legal measures.

22.3. Nothing in this clause limits the rights the intellectual-property laws confer on Sireeus.

23. Confidentiality and trade secrets

23.1. Non-public technical information, code, architecture, internal documentation, commercial information, and other confidential information made available to the User must be treated as confidential.

23.2. The User may not use or disclose Sireeus’s confidential information for a purpose other than that needed for regular use of Kerry Studio.

24. Changes to this License

24.1. Sireeus may update this License to reflect legal, regulatory, technical, or operational changes.

24.2. Material changes will be communicated by reasonable means (notice in the Software, email associated with the license, or publication at /legal/eula), with at least 15 (fifteen) calendar days’ notice, unless the law requires immediate effect or the change is needed for the security of the Software or the licenses.

24.3. Use of the Software after the new version takes effect constitutes acceptance, without prejudice to the right to stop using and cancel the subscription with the legal seller of that contract, and without prejudice to mandatory consumer rights (CDC art. 51 and public-order norms).

24.4. The contractual version in force is the one published at /legal/eula as of effective. The Software fetches that text from the site; it does not bundle a copy of the markdown in the installer.

25. Changes to the Software

25.1. Sireeus may modify, update, improve, or discontinue Kerry Studio features.

25.2. The Company may release new versions, modules, or features as part of new plans or products.

25.3. Discontinuing a specific version does not, automatically, create a duty to maintain that version indefinitely, subject to contractually acquired rights and applicable legal duties.

26. International use, governing law, and forum

26.1. Kerry Studio may be made available to users in different countries, subject to applicable technical, commercial, and legal limits.

26.2. A User located outside Brazil is responsible for checking whether acquiring and using the Software is permitted in their jurisdiction.

26.3. This License is governed by the laws of the Federative Republic of Brazil, without prejudice to mandatory rules that cannot be set aside by contractual choice.

26.4. In consumer relationships, the legal regime applicable to the consumer will be observed, including territorial-jurisdiction rules (CDC art. 101, I — forum of the consumer’s domicile) and other rights granted by public-order norms.

26.5. The parties will seek to resolve amicably any disputes. Nothing prevents the consumer from exercising rights before the competent administrative or judicial bodies.

26.6. Where the forum of the consumer’s domicile provided for in mandatory law does not apply (including, but not limited to, commercial relationships with legal entities or intellectual-property disputes), the parties elect the courts of the Judicial District of São Joaquim da Barra, State of São Paulo, Brazil, with express waiver of any other, however privileged, to settle any doubts or disputes arising from this License.

27. General provisions

27.1. If a provision of this License is invalid, the validity of the others is not affected.

27.2. Tolerance of a failure to perform a given duty is not a waiver of the corresponding right.

27.3. This License, the Subscription Terms, the Privacy Policy, and the Cancellation and Refunds Policy constitute the applicable set of rules. A conflict over use of the Software is governed by this License. A commercial conflict is governed by the Subscription Terms / refunds policy.
